Prior literature generally finds that the tone of conference calls and MD&As are cautiously chosen by the management and conveys valuable information to the market. In this paper, we intend to extend the literature by investigating the tone dissonance between the Q&A sessions of the conference calls and the MD&A sessions of the 10-ks using the Loughran and McDonald (2020) financial dictionary . Specifically, we attempt to answer the following research questions: As management faces different incentives when preparing different corporate disclosures (Li (2008)), is there a systematic tone dissonance between the conference calls and MD&As? Do current firm status and long-term business strategy affect this tone dissonance? Does tone dissonance between the conference call and MD&A signal management uncertainty about the firm’s future? In additional analysis, we examine whether management scripting behavior differ in high and low tone dissonance periods, how tone dissonance interacts with management speech features (length, positive, negative, uncertainty, litigious, constraining words usage, and cue of deception) during the conference call, and how tone dissonance interacts with analysts’ questions (number of questions, type of questions, and word usage) during the conference call.
